Qualifications

• License agreements, collaborations, consortiums, venture capital transactions, and mergers & acquisitions.
• JD required with active bar licensure.

Responsibilities

• Lead legal due diligence for strategic transactions and advise on structures and business terms.
• Prepare non-binding term sheets and ensure definitive agreements are negotiated and executed.
• Act as the primary responsible attorney on strategic deals and provide guidance through the transaction process.
• Collaborate with business development, finance, tax, R&D, and commercial teams; leverage IP attorneys when needed.
