Job summary

FedEx Freight in Memphis seeks a Paralegal to support the Securities & Corporate Law team. The role involves managing domestic and international subsidiary matters, governance documents, and filings such as annual reports and SEC forms.

You will assist with due diligence for M&A, coordinate closing procedures, manage data rooms, and help prepare documents for board meetings and external counsel. Strong paralegal experience and MS Office proficiency are required.

Qualifications

• Paralegal degree or paralegal certificate required; or a Bachelor’s degree in a relevant discipline.
• Five (5) years paralegal experience in a relevant field preferred.
• Excellent interpersonal and relationship-building skills.
• Strong written and verbal communications skills.
• Excellent organizational and time-management skills.
• Ability to multi-task and prioritize multiple assignments and meet deadlines.
• Able to interact with all levels of leadership across FedEx Freight.
• Experience with Microsoft Office Suite.

Responsibilities

• Assist with domestic and international subsidiary matters, including formation, dissolution, and governance documents.
• Oversee filing of annual reports, franchise taxes, and foreign qualifications for subsidiaries.
• Support Board meetings and SEC filings, including proxies and Form 10-K/10-Q.
• Draft and maintain incumbency certificates, officer certificates, and delegations of authority.
• Support merger and acquisition activities, including due diligence and closing procedures.
• Manage virtual data rooms
• Provide documents to requesting departments and outside counsel as needed
• Coordinate programs and projects handled by Securities & Corporate Law
• Collaborate across departments to ensure timely handling of legal activities
• Respond to information requests and ensure regulatory compliance
• Perform other duties as required
