Job summary

Mason & Blair, LLC is seeking a highly technical Director of M&A and Technical Accounting to lead accounting support for acquisitions, deal structuring, and complex accounting matters. This role focuses on M&A accounting while developing policy and applying GAAP to complex transactions.

Qualifications

• CPA certification required and active.
• 10+ years of progressive accounting experience.
• Strong knowledge of U.S. GAAP, ASC 805 and complex transaction accounting.
• Experience in M&A accounting, negotiation support, and deal structuring.
• Experience drafting technical accounting position papers and interacting with external auditors.
• Ability to influence deal structure through accounting analysis.
• Proven ability to operate independently as a senior contributor in a high-visibility setting.
• Strong executive communication and cross-functional partnership skills.
• Experience supporting public company environments preferred.

Responsibilities

• Lead M&A accounting and deal support across the transaction lifecycle.
• Coordinate with Corporate Development, Legal, Tax, FP&A, and executives during acquisitions, divestitures, and investments.
• Oversee purchase accounting activities, including opening balance sheet reviews.
• Evaluate deal structures for accounting implications and risks.
• Assess earn-outs, contingent considerations, debt/equity features and complex provisions.
• Support diligence on accounting policies, revenue recognition, reserves, contingencies.
• Prepare and review technical accounting memoranda for transaction-related conclusions.
• Coordinate with external auditors and valuation specialists during execution.
• Assist with post-close integration-related accounting matters.
• Serve as primary accounting advisor to business development teams on strategic transactions.
