Qualifications

• Minimum 10 years of substantial business/transactional practice in public or private contexts.
• Strong drafting, negotiation, and analytical skills; client development and relationship management.
• Comfort with modern legal technology and practice-management tools; ability to manage multiple matters.

Responsibilities

• Manage legal counsel and strategic advice on M&A, private placements, joint ventures, and strategic alliances.
• Draft, review, and negotiate complex commercial agreements including asset and stock purchase agreements, LLC/partnership agreements, and governance documents.
• Direct due diligence, identify issues, and propose practical solutions.
• Advise on corporate governance matters including board meetings and regulatory filings.
• Mentor junior attorneys and contribute to building the Business Section.
