Job summary

SiriusXM is seeking a senior legal leader to serve as Vice President, Corporate and Transactions Counsel. You will guide the company through mergers, acquisitions, joint ventures, partnerships, and other strategic deals, structuring deals, managing risk, and coordinating cross-functional teams.

You will lead capital markets activity, advise on governance for investments, and manage relationships with external counsel and advisors.

Qualifications

• Requires JD and bar admission in good standing; extensive M&A and corporate deal experience.
• Deep expertise in structuring, negotiating, and executing complex transactions.
• Experience advising on capital markets and financing activities.

Responsibilities

• Lead legal for capital markets and financing activities.
• Advise on corporate development strategy including M&A and partnerships.
• Structure, negotiate, and execute significant transactions (term sheets, purchase agreements, JV agreements).
• Oversee due diligence with internal teams and external counsel.
• Partner with senior leaders to assess strategic opportunities and drive deal execution.
• Advise on governance matters related to investments and issuances.
• Manage relationships with outside counsel and coordinate cross-functional deal teams.
• Develop best practices, playbooks, and processes for the transactions function.
• Lead and develop high-performing legal teams.
