Job summary

gpac seeks a motivated Transactional Corporate Attorney to join our Cleveland office. The role requires a JD, Ohio Bar admission, and at least two years of corporate transactional experience, with responsibilities including advising on entity formation, drafting and negotiating contracts, and supporting M&A activities.

The attorney will counsel clients on regulatory compliance and corporate strategy while collaborating across diverse industries in a fast-paced environment.

Qualifications

• J.D. from an accredited law school.
• Admission to the Ohio Bar or eligibility to waive in.
• Minimum 2 years of corporate transactional experience, including business formations, contracts, and M&A.
• Strong drafting, negotiation, and communication skills.
• Proven ability to manage multiple projects and deadlines in a fast-paced environment.
• Commitment to excellent client service, professionalism, and teamwork.

Responsibilities

• Advise clients on corporate and business law matters, including entity formation and governance.
• Draft, review, and negotiate contracts, agreements, and other transactional documents.
• Support mergers, acquisitions, joint ventures, and other corporate transactions.
• Counsel clients on regulatory compliance and general corporate strategy.
• Work closely with clients across diverse industries, providing practical and solutions-oriented advice.
