Nashville-based Law Firm seeks a Corporate Transactional Attorney to join the Business and Corporate practice. The ideal candidate will advise businesses and owners on mergers, acquisitions, contracts, formation, governance, and related matters.

The role focuses on working with entrepreneurs, privately held companies, and family-owned enterprises on transactions and strategic growth. A practical, business-minded attorney with strong client relationships is preferred.

Qualifications

• J.D. from an accredited law school.
• Active Tennessee Bar in good standing.
• Experience handling corporate, transactional, or commercial matters.
• Strong drafting and negotiation skills.
• Ability to manage multiple matters and deadlines.
• Excellent written and verbal communication.
• Business-minded, client-focused approach.

Responsibilities

• Advise on mergers, acquisitions, dispositions, and other business transactions.
• Draft, review, and negotiate purchase/sale, operating, shareholder, JV, and strategic agreements.
• Counsel on entity formation, governance, and ongoing operations.
• Assist with due diligence, deal structuring, and closing processes.
• Advise owners on equity investments, capital funding, and succession planning.
• Prepare and negotiate employment, non-compete, and NDA agreements.
• Collaborate with tax, real estate, labor, estate planning, and other teams.
• Build long-term client relationships and identify growth opportunities.
