Qualifications

• 12+ years of legal experience in corporate transactions and governance.
• Experience with employee benefits, international operations, and tax structuring preferred.
• Proven ability to advise executives and manage complex transactions.

Responsibilities

• Lead mergers, acquisitions, and strategic corporate transactions.
• Oversee due diligence, structuring, negotiating, and closing deals.
• Collaborate with corporate development, finance, and external advisors.
• Provide guidance on financing arrangements and capital allocation.
• Advise on ERISA compliance and employee benefits programs.
• Support corporate governance, entity management, and policies.
• Advise on international operations and cross-border compliance.
• Manage outside counsel relationships and deliver practical solutions.
• Communicate legal risks to executives and stakeholders.
