Qualifications
3+ years of capital markets and securities experience with a law firm.
Strong experience handling securities offerings and corporate transactional matters.
Deep working knowledge of the Securities Act, Exchange Act, and applicable stock exchange regulations.
Exceptional drafting, negotiation, and communication skills.
Ability to manage multiple active transactions and competing deadlines in a fast-paced practice.
Previous experience working in a law firm is required.
Admission to at least one U.S. state bar (New York preferred).
Responsibilities
Lead and execute a wide range of corporate finance transactions.
Advise on equity offerings, warrants, and convertible instruments.
Counsel clients on securities law compliance and ongoing reporting requirements.
Support alternative public market strategies including de-SPAC transactions.
Draft and negotiate offering documents and securities filings.
Partner closely with senior attorneys on complex transactions.
