Qualifications

• Bachelor's Degree or equivalent experience is required.
• Certified Corporate Governance Professional (CGP) or related governance certs are preferred.
• Experience supporting corporate governance and board operations is required.
• Experience collaborating with executives and board members is required.

Responsibilities

• Coordinate all aspects of Board and Committee meetings, including scheduling and materials.
• Develop meeting agendas with executives and business leaders; ensure timely distribution of materials.
• Administer board portal technology, including access, training, and support for directors.
• Maintain Board and Committee records, resolutions, and governance documents.
• Coordinate governance processes to meet SEC/NYSE and regulatory requirements.
• Support governance for domestic and international subsidiaries, including records and director info.
• Serve as primary contact for directors and executives on governance matters.
• Oversee director onboarding, education programs, and governance assessments.
• Identify opportunities to improve governance processes and technology solutions.
• Support special projects for the Corporate Secretary and Legal Department.
