Qualifications

• JD, Law degree from accredited law school.
• BA/BS from accredited university or college.

Responsibilities

• Support corporate secretary office for the public company and subsidiaries; organize meetings, prepare agendas, minutes, and resolutions; maintain corporate records.
• Support board governance, onboarding, and compliance with listing standards and regulatory requirements.
• Advise on securities law matters, including Securities Act and Exchange Act compliance, SEC filings, disclosure obligations.
• Prepare, review, and file SEC documents such as 10-K, 10-Q, 8-K, proxy statements, and registration statements.
• Provide guidance on earnings announcements and shareholder communications.
• Support financing and other capital projects from inception to ongoing compliance.
• Monitor governance and securities issues and develop best practices for implementation.
• Coordinate with internal/external stakeholders (board, auditors, regulators, outside counsel).
• Liaise with international colleagues on multi-jurisdictional projects including subsidiaries.
• Provide legal support for sustainability reporting and corporate M&A.
