Job summary

Pennington Partners is seeking a Senior Compliance Officer to oversee day-to-day compliance operations, maintain policies, and manage regulatory risk for an investment management firm serving HNW clients.

The role requires deep regulatory knowledge of RIAs and private funds, including SEC, CFTC/NFA rules, and capital-raising compliance. Collaboration with Legal Director/Chief Compliance Officer is essential, with a strong emphasis on training and program oversight.

Qualifications

  • Experience with RIAs and private funds is required.
  • 5–10 years in financial services with compliance focus.
  • Familiarity with SEC Marketing Rule and ADV documentation.

Responsibilities

About the Position.

Pennington Partners is a Registered Investment Advisor focused on HNW clients and also manages private funds exempt from registration under 3c7/3c1, Rule 506(b) or Regulation D. The firm is seeking a Senior Compliance Officer to work closely with the Legal Director/Chief Compliance Officer to oversee the day-to-day compliance operations, maintain and improve policies and procedures, and manage regulatory risk. The position requires a deep technical understanding of the regulatory requirements coupled with the ability to manage across firm leadership.

What You’ll Do.
  • Help manage the firm’s adherence to Securities and Exchange Commission (SEC) regulations and other relevant compliance requirements for an investment management firm
  • Support capital raising efforts, including national and international fund registration initiatives, LPA/side letter negotiations, and advertisement and marketing material development
  • Support the firm’s diligence and regulatory obligations related to existing investors, including the fulfillment of side letter obligations and anti-money laundering (AML) screening
  • Assist in conducting regular compliance audits and risk assessments for Investor Relations, Accounting, and firmwide matters
  • Support preparation of regulatory filings, compliance reports, and due diligence responses
  • Participate in regulatory examination preparation and process
  • Collaborate with firm advisors, including compliance consultants and outside counsel
  • Support implementation and ongoing oversight of the firm’s Compliance Program
  • Assist with creation and execution of compliance training program
  • Assist with firm 206(4)-7 review
  • Aid in the creation, monitoring, and documentation of compliance policies and procedures to ensure ongoing compliance
  • Stay up-to-date with changes in regulatory requirements and industry best practices
What We Need.
  • The ideal candidate will possess:
  • Technical knowledge of compliance regulations with respect to registered investment advisors (RIAs) as well as private funds, including SEC, CFTC, NFA regulations as well as rules governing the marketing and operation of 3c-7 and 3c-1 funds, not limited to:
  • Form ADV
  • SEC Marketing Rule
  • Code of Ethics
  • Custody Rule 206(4)-2
  • Strong knowledge of RIA employee supervision rules.
  • Ability to implement best practices for an RIA with respect to "know your client" procedures as well as anti-money laundering controls.
  • Ability to manage external regulatory examinations as well as conduct internal compliance audits and risk assessments.
  • Ability to support the broader legal function with respect to capital raising efforts, fund registrations, vendor contracts, etc.
  • Clear communicator with the ability to work across internal functions/groups.
  • 5 to 10 years of experience with an RIA, broker-dealer, or similar financial services firm.
  • Familiarity with the specific regulatory and compliance issues that face wealth managers coupled with an understanding of the industry's trading and operational workflows
