Job summary

EY-Parthenon’s Deals team in New York is seeking an Associate to support Sales and Purchase Agreement (SPA) advisory for M&A transactions. You will collaborate with deal teams, clients, bankers and lawyers across the deal continuum from planning and negotiation to signing and closing.

The role offers exposure to a wide range of sectors, helps develop a specialized skill set in high‑value value levers, and strengthens analytical and negotiation capabilities in a fast‑paced, global environment.

Qualifications

• Bachelor's degree in Accounting or Finance and 1 year of related work experience; or a graduate degree and approximately 6 months of related work experience.
• Excellent analytical skills and the ability to translate data into insights.
• Ability to prioritize on projects and adapt quickly to new challenges.
• Strong negotiation and influencing skills with relationship-building ability.
• Proficiency in Excel, Word and PowerPoint; strong written and verbal communication.
• You must reside in or be within commuting distance to the office and be willing to travel.

Responsibilities

• Manage deal price adjustment mechanisms and SPAs with clients and deal teams.
• Analyze cash, debt and working capital adjustments; prepare pricing schedules.
• Review financial aspects of SPAs and assist with closing accounts.
• Conduct leakage reviews on locked‑box transactions and contribute to risk management.
• Draft outputs for clients and support negotiations with senior stakeholders.
