Job summary

EY-Parthenon, a leading strategy and transaction advisory unit of EY, invites you to join our SPA Advisory team. You will identify and articulate key value levers in M&A pricing and SPA documents, interacting with deal teams, clients, and advisors across planning, negotiation, signing, closing, and post-closing phases.

You will build a specialized skill set in a high-value area for corporate and private equity clients, with exposure to cross-border transactions in diverse sectors.

Qualifications

• Bachelor's degree in Accounting or Finance with 1 year of related work experience.
• Strong analytical skills and ability to translate data into insights.
• Proven negotiation and influencing skills with client teams.
• Excellent communication, written and verbal communication skills.
• Proficiency in Excel, Word, and PowerPoint.

Responsibilities

• Interact with deal teams and clients across all stages of the deal continuum including planning, negotiation, signing, closing and post-closing.
• Develop outputs and recommendations for clients on M&A pricing and SPA terms.
• Review financials within SPAs and assist with drafting closing accounts and price adjustment schedules.
• Coordinate with due diligence teams to identify risks and provide actionable insights.
• Support negotiations with counterparty teams and external advisors.
• Maintain QRM quality and risk management standards on client work.
