gpac LLC is seeking a Transactional Attorney in San Diego, onsite, with 5+ years of transactional business law experience and a strong background drafting and negotiating complex contracts for national clients.

The role offers an opportunity to independently manage sophisticated commercial agreements, advise on risk allocation and liability, and collaborate with clients and deal teams. A California Bar license is required, and a business-minded, client-focused approach is essential for success.

Qualifications

• 5+ years of transactional business law experience.
• Active California Bar license required.
• Strong drafting, reviewing, and negotiation of complex commercial contracts.
• Knowledge of risk allocation, indemnification, and limitation of liability.
• Excellent writing, research, negotiation, and client relations skills.
• Ability to manage matters independently.
• Oil and gas transactional experience is a major plus.

Responsibilities

• Draft, review, and negotiate complex commercial contracts.
• Support M&A and other sophisticated transactions.
• Identify contractual risks and negotiate terms.
• Conduct legal research and provide practical guidance.
