Job summary

Mercury Systems is seeking a Sr. Principal Corporate Counsel to serve as the lead Supply Chain Attorney for a defense contractor.

You will counsel senior officials and procurement teams, manage complex government contracts, and direct policy and process improvements across the Legal Department and Supply Chain organization. The role requires 8+ years as an attorney with strong FAR/DFARS experience, extensive contract drafting, and the ability to travel up to 20%.

Qualifications

  • JD from an accredited law school and admitted to practice in at least one US state.
  • 8+ years as an attorney with 5+ years in government contracts focusing on supply chain.
  • Strong understanding of FAR/DFARS and defense contracting practices.
  • Extensive experience drafting and negotiating government contracts and subcontracts.
  • Experience with contract changes, REAs, disputes, and litigation related to government contracts.
  • Experience with commercial contracts, IP licensing, and data rights.
  • Due diligence experience for M&A activities.
  • Ability to establish processes and SOPs from scratch; willingness to travel up to 20%.

Responsibilities

  • Provide legal support and counsel to senior business officials, contracts professionals, and supply chain teams.
  • Review and guide procurement, logistics, subcontractor management, and related negotiations for US and non-US government contracts.
  • Direct other attorneys or staff as needed and negotiate terms with customers and suppliers.
  • Maintain and revise standard templates for purchasing, IP, and supplier agreements.
  • Draft, review, and negotiate a wide range of contracts including purchase, service, supplier, consultant, and real estate leases.
  • Advise on risk and business terms in supply chain arrangements; establish SOPs to streamline reviews.
  • Ensure compliance with applicable laws, export controls, sanctions, and trade regulations; collaborate with trade compliance.
  • Support dispute resolution and litigation related to supply chain issues; participate in due diligence for M&A.
  • Partner with and train supply chain personnel on terms and negotiation; contribute to strategic policy development.
  • Possess or obtain active DoD secret clearance; US citizenship required.
