Job summary
Koch Business Solutions, LP seeks an experienced securities lawyer to advise on securities law matters and strategic transactions across a diverse portfolio of investments. You will partner with business leaders and legal teams on public company investments, mergers, and venture capital transactions to create long-term value.
The role requires JD, active state bar admission, and substantial law firm experience in securities and strategic transactions, including take-private work and minority
Qualifications
- JD from an accredited law school.
- Active membership in good standing in at least one U.S. state bar.
- Experience advising on securities matters and strategic transactions in a law firm.
Responsibilities
- Advise on securities law compliance, regulatory filings, internal training, and related matters for public company investments.
- Partner with business teams on strategy and execution of public company investments, including minority investments and take-private transactions.
- Structure, negotiate, and execute mergers and acquisitions, venture capital investments, minority investments, and joint ventures with in-house and outside counsel.
- Manage all phases of assigned transactions: structuring, due diligence, negotiation, documentation, signing and closing.
- Support senior transactional counsel on complex matters.
