Job summary

Koch Business Solutions, LP seeks an experienced securities lawyer to advise on securities law matters and strategic transactions across a diverse portfolio of investments and initiatives. You will partner directly with business leaders and in-house teams on public company investments, mergers and acquisitions, venture capital, and other complex transactions.

The role involves leading due diligence, negotiating and structuring deals, and coordinating with outside counsel.

Qualifications

JD from an accredited law school.
Active membership in good standing in at least one U.S. state bar.
Law firm experience advising on securities matters and strategic transactions.
Experience advising on securities law, including public company reporting or compliance matters.
Experience supporting mergers and acquisitions, venture capital investments, or other strategic transactions.

Responsibilities

Advise on securities law compliance, regulatory filings, internal training, and related matters.
Partner with business teams on strategy and execution from minority investments through take-private transactions.
Structure, negotiate, and execute mergers and acquisitions, venture capital investments, joint ventures, and other strategic transactions.
Manage all phases of assigned transactions: structuring, due diligence, negotiation, signing, and closing.
Support senior transactional counsel on complex matters.
