ADARx Pharmaceuticals, Inc., located in San Diego, seeks an experienced Sr. Corporate Securities Counsel to support governance, securities compliance, strategic transactions, and public company readiness.

The role partners with Head of Legal, executive leadership, and external counsel to deliver compliant, execution‑oriented legal support for growth. The ideal candidate combines top-tier law firm training with biotech or life sciences experience, comfortable with SEC reporting, accountability

Qualifications

• J.D. from an accredited law school and active membership in at least one U.S. state bar.
• 8–10 years of corporate, securities, capital markets, M&A, or governance experience, with law firm and in-house background.
• Deep knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, SEC reporting and disclosure, governance and capital markets.
• Experience advising public and private companies on transactional, governance, and disclosure matters.
• Excellent drafting, negotiation, project management, communication, and judgment skills.

Responsibilities

• Securities and Capital Markets: support SEC compliance, filings, insider trading controls, and equity plan administration.
• Corporate Governance: advise the Board, prepare materials, support governance processes and director/officer matters.
• Strategic Transactions: assist BD in licenses, collaborations, equity investments, M&A and related diligence.
• Public Company Readiness and Compliance: build public company infrastructure, trainings, and outside counsel management.
