Talently in San Diego seeks a Corporate & Securities Counsel to support growth in a fast‑growing biotech environment. You will advise on securities matters, corporate governance, and cross‑functional collaboration, including M&A and strategic partnerships.

The role requires a JD with CA bar admission and 4–5+ years of public company experience in securities law, with a background in biotech or life sciences. Onsite relocation benefits available.

Qualifications

• 4–5+ years of public company experience in securities law.
• Experience in the biotechnology or life sciences industry.
• Law firm experience.
• Strong track record of preparing and reviewing SEC filings and managing public company reporting obligations.
• Expertise in commercial contract drafting and negotiation, especially related to biotech collaborations and licensing.
• Highly motivated, driven, and eager to learn, take on new challenges, and grow professionally.

Responsibilities

• Provide legal counsel on securities matters, including SEC filings, periodic reports, and compliance with public company disclosure obligations.
• Advise on corporate governance matters and support board and committee activities.
• Draft, review, and negotiate commercial contracts, including strategic collaborations, licensing, and partnership agreements typical in biotechnology firms.
• Manage legal due diligence and documentation for mergers, acquisitions, and other strategic initiatives.
• Support growth by partnering with cross-functional teams, including R&D, finance, and business development.
