Job summary

BrainWorks seeks a Senior Legal Corporate Contracts/Regulatory/Compliance Counsel to lead real estate and energy agreements in a U.S. hybrid environment. You will draft, negotiate, and manage risk across complex contracts and project financings.

The role requires a JD, active bar admission, and 5+ years’ experience, with preference for in-house work in real estate or renewable energy sectors. Travel and cross-functional collaboration are expected.

Qualifications

• Juris Doctorate from a U.S. accredited law school
• Active bar membership in good standing
• 5+ years practicing attorney, preferably with some in-house experience
• Experience with real estate, commercial transactions, contracts
• Experience in renewable energy industry is a significant plus

Responsibilities

• Draft and negotiate real estate transactions, asset management agreements, program management agreements, financial services agreements, and energy management agreements
• Prepare real estate files for project lending due diligence, including title reviews and ALTA surveys
• Support M&A due diligence and draft deal summaries with risk analysis on agreements
• Negotiate service, supply, asset purchase, EPCs, BoPs, O&M, NDAs, and master service agreements
• Onboard and manage outside counsel

Job Description: Senior Legal Corporate Contracts/Regulatory/Compliance Counsel

General Description and Duties:

• Responsible for establishing templates for real estate transactions for wind, solar and battery energy storage leases, easements and crossing agreements for repowers, greenfield builds and operational activities for more than 5000 MW in several U.S. states
• Negotiate and draft a variety of real estate transactions, asset management agreements, program management agreements, financial services agreements, and energy management agreements for Exus’ technical and commercial asset management division
• Facilitate project lending due diligence review by preparing all real estate files, including but not limited to, review of title commitments/policies and ALTA surveys, negotiate exceptions and endorsements to policies and obtain title curatives
• Work with M&A team on MIPAs and to conduct due diligence on projects / assets throughout the U.S. and draft deal summaries, provide risk analysis on agreements
• Collaborate with different teams to negotiate and prepare service and supply agreements, asset purchase agreements, EPCs, BoPs, O&M, consulting service agreements, master service agreements, NDAs, notice letters, pre-litigation inquiries,
• and insurance matters
• Onboard and manage outside counsel

Minimum Education:

• Juris Doctorate degree from accredited U.S. law school
• Active bar membership in good standing

Minimum Experience:

• Experience with real estate,commercial transactions, contracts required
• Experience in renewable energy industry a significant plus
• 5+ years of experience as a practicing attorney, preferably with some in-house experience
