Job summary

Celea Therapeutics, Inc. is seeking a Senior Paralegal, Corporate & Securities to join the Legal team in a hybrid Boston role. You will manage the contract lifecycle, support governance, and help scale legal operations as the company grows.

The ideal candidate has extensive paralegal in‑house experience in biotech or life sciences, with strong drafting and governance capabilities. You will work with executives and outside counsel to support SEC reporting and board activities.

Qualifications

7+ years of paralegal experience, including in‑house work in biotech or life sciences.
Experience managing commercial, research, clinical, vendor, and consulting contracts.
Experience developing templates, clause libraries, and approval workflows.
Experience supporting Boards, governance, and corporate records.
Knowledge of SEC reporting, Section 16 filings, and public‑company controls.

Responsibilities

Manage end-to-end contract lifecycle: intake, drafting support, negotiation tracking, approvals, execution, renewals, and archiving.
Develop and maintain contract templates, playbooks, workflows, and SOPs for common agreements.
Administer CLM system, repositories, matter trackers, and signature tools with scalable processes.
Support Board materials: agendas, resolutions, minutes, and meeting materials.
Maintain corporate minute books, capitalization records, and governance calendars.
Assist with SEC filings: 10-K, 10-Q, 8-K, proxy statements, and related materials.
Collaborate across Legal, Finance, Investor Relations, HR, BDI, R&D, and outside counsel.
