Job summary

Orion Placement is seeking a California-based corporate governance paralegal to support our in-house real estate and business operations team. This role emphasizes real estate transactions, governance documents, contracts, and regulatory compliance, with a strong emphasis on accuracy and deadlines.

You will collaborate with HR and operations, prepare resolutions and minute books, manage deadlines, and assist with closings, discovery, and outside counsel coordination as needed.

Qualifications

• 4+ years of California corporate governance paralegal experience.
• Hands-on experience with real estate transactions, leases, and commercial contracts.
• Strong understanding of California corporate law, LLCs, partnerships, and governance requirements.
• Experience maintaining corporate records, drafting resolutions, and supporting business transactions.
• Paralegal certificate or relevant degree.
• Strong organizational, communication, research, and multitasking skills.
• Litigation and discovery experience preferred.
• Proficiency in Microsoft Office, Adobe Acrobat, and legal research tools.

Responsibilities

• Prepare and maintain corporate governance documents, entity records, resolutions, and minute books.
• Assist with commercial real estate transactions, leases, property agreements, and closings.
• Review, draft, and organize contracts and transactional documents.
• Support compliance requirements for California corporations, LLCs, and partnerships.
• Assist with litigation matters, including discovery, subpoenas, and outside counsel coordination.
• Partner with HR and operations teams on legal documentation and regulatory matters.
• Conduct legal research, manage deadlines, and support daily legal department operations.
