Terra Vista Management, Inc. is seeking a Senior Paralegal to support corporate governance, real estate matters, HR, and contracting in a primarily remote role with occasional on-site work in Del Mar, CA.

The ideal candidate will bring extensive governance experience, legal research aptitude, and strong cross-functional collaboration skills. You will handle document drafting, discovery coordination, SOP development, and maintenance of records across multiple properties in Southern California,

Qualifications

• Minimum 5 years of paralegal experience, preferably at a large law firm.
• Extensive corporate governance experience required.
• Experience with California law and governance terminology.
• Litigation support experience preferred.
• Exposure to employment laws a plus.
• Advanced computer proficiency with MS Word, Excel, Outlook, SharePoint, Planner, Adobe Acrobat Pro, and web conference tools.

Responsibilities

• Maintain corporate/entity records and minute books.
• Prepare written consents, director/officer resolutions, and other governance documents.
• Research applicable laws and ensure governance compliance.
• Assist with transfers of entity membership interests and transactional closings.
• Coordinate with outside counsel during litigation and manage discovery processes.
• Draft and update employee agreements and SOPs with HR input.
• Prepare and edit contracts, lease forms, and other documents.
• Track permits, licenses, registrations, and compliance.
