Responsibilities

• Support corporate, finance, and real estate transactions from diligence to closing.
• Prepare and maintain corporate governance documents, entity formations, and filings.
• Manage corporate records, minute books, and multi-jurisdiction entity maintenance.
• Assist with venture capital and emerging company matters, including cap tables and equity administration.
• Prepare and file UCC financing statements and related searches.
• Coordinate transaction closings and post-closing documentation.
• Support commercial real estate matters, including title, recording, and due diligence.
• Draft organizational charts, corporate summaries, and client-facing materials.
• Partner closely with attorneys on sophisticated client matters in a fast-paced environment.

Our client, an Am Law firm, is seeking a highly skilled Senior Paralegal to join our Corporate and Real Estate Practice Groups. This position will work closely with attorneys and practice specialists to support sophisticated corporate, finance, and real estate transactions.

The ideal candidate will bring significant experience in corporate governance, entity management, transactional support, and commercial real estate matters, along with exceptional organizational skills and attention to detail.

Key Responsibilities:

• Support complex corporate, finance, and real estate transactions from due diligence through closing.


• Prepare and maintain corporate governance documents, entity formations, and compliance filings.


• Manage corporate records, minute books, and multi-jurisdiction entity maintenance.


• Assist with venture capital and emerging company matters, including cap tables and equity administration.


• Prepare and file UCC financing statements and related searches.
