About the Opportunity

A leading law firm is seeking an experienced Senior Paralegal to support its Corporate and Real Estate practice groups. This role offers the opportunity to work closely with attorneys and legal professionals on sophisticated corporate, finance, venture capital, and commercial real estate transactions.

The ideal candidate will have significant experience in corporate governance, entity management, transactional support, and commercial real estate matters, along with exceptional organizational skills and attention to detail.

Key Responsibilities
Corporate, Finance & Real Estate Transactions
  • Support attorneys through all phases of corporate, finance, and real estate transactions, including due diligence, document preparation, closings, and post-closing activities.
  • Coordinate transaction closing documents, signature packages, and closing sets.
  • Review, organize, and maintain due diligence materials and transaction records.
  • Prepare and manage transaction checklists and timelines.
Corporate Governance & Entity Management
  • Prepare and file entity formation and maintenance documents, including:
  • Certificates of formation/incorporation
  • Bylaws and operating agreements
  • Organizational minutes and written consents
  • Amendments, qualifications, annual reports, and dissolutions
  • Obtain certificates of good standing and related corporate records.
  • Prepare corporate governance documents, officer certificates, incumbency certificates, and authority documents.
  • Complete IRS Form SS-4 applications and obtain Employer Identification Numbers (EINs).
  • Coordinate compliance filings across multiple jurisdictions.
  • Maintain entity management databases and ownership records.
  • Assist with Blue Sky and federal securities filings.
  • Maintain capitalization tables and corporate records.
  • Assist with administration of equity incentive plans, including stock options, restricted stock awards, vesting schedules, and related documentation.
  • Prepare board and stockholder approvals for financings, equity issuances, and other corporate actions.
  • Support venture capital financing transactions by coordinating closing requirements and capitalization updates.
  • Monitor equity plan compliance and maintain securities-related records.
Finance & UCC Matters
  • Prepare and file UCC-1 Financing Statements and UCC-3 Amendments, Continuations, and Terminations.
  • Order, review, and analyze UCC, lien, and litigation searches.
  • Prepare summaries, status reports, and filing analyses.
  • Research property records and obtain title, vesting, and related real estate documentation.
  • Prepare, review, and coordinate recording of deeds, deeds of trust, and other transfer documents.
  • Coordinate out-of-state recording requests and filings.
  • Review title commitments, surveys, and real estate due diligence materials.
  • Prepare Bureau of Economic Analysis (BEA) filings.
  • Review commercial leases and contracts and prepare summaries and abstracts.
Practice Support & Client Service
  • Manage audit letter requests and related due diligence processes.
  • Maintain client files, corporate records, and minute books.
  • Coordinate with service providers regarding entity filings, annual reports, and UCC matters.
  • Maintain investor subscription materials and records.
  • Create ownership and organizational structure charts using Microsoft PowerPoint.
  • Track vendor invoices and client-related disbursements.
  • Record billable time and maintain matter management records.
  • Provide notary services as needed.
Qualifications
Required
  • High school diploma required; Bachelor's degree strongly preferred.
  • Minimum 7+ years of paralegal experience supporting corporate, finance, and real estate matters.
  • Experience with EDGAR filings.
  • Demonstrated experience managing complex transactions and corporate governance activities.
  • Strong understanding of entity formation, maintenance, and compliance requirements.
  • Excellent written, verbal, and interpersonal communication skills.
  • Exceptional organizational and project management skills.
  • Strong analytical, critical thinking, and problem-solving abilities.
  • Ability to manage multiple priorities and deadlines in a fast-paced environment.
  • Commitment to professionalism, accuracy, and client service.
Preferred
  • Experience with Carta or similar cap table management platforms.
  • Experience supporting venture capital and emerging growth company clients.
  • Notary commission or ability to obtain one in the state of employment.
