Jobtailor seeks an experienced corporate paralegal to own and maintain the global subsidiary governance program, manage corporate records, and prepare board and shareholder materials. You will coordinate with external counsel and internal teams to ensure regulatory compliance across jurisdictions.

Own and maintain the global subsidiary governance program, including qualification to do business, and annual compliance filings across all domestic and international subsidiaries.
Maintain accurate and current corporate records — including articles of incorporation, bylaws, operating agreements, minute books, and officer/director registers — for all legal entities in the corporate structure.
Prepare and coordinate board and shareholder resolutions, written consents, and officer certificates for subsidiaries in support of operational, financing, and transactional needs.
Partner with outside registered agents and local counsel in domestic and international jurisdictions to ensure entity good standing and satisfy local regulatory requirements.
Support the Corporate Secretary function, including coordination of board meeting materials, minutes, and director communications for the parent company.
Serve as a go-to resource for internal stakeholders in Finance, Tax, and Treasury on entity-level matters, including organizational charts and intercompany agreements.
Lead and coordinate cross-functional legal projects from initiation through completion, establishing timelines, tracking deliverables, and communicating status to attorneys and business stakeholders.
Oversee legal spend tracking, invoice review, budget monitoring, and outside counsel coordination, including matter management in the department’s billing system.
Coordinate with outside IP counsel to manage the company’s patent and trademark portfolio across all product lines, tracking prosecution timelines, maintenance fee schedules, and expiration dates.
Support in-house attorneys and outside litigation counsel on active matters, including product liability, Paragraph IV patent challenges, government investigations, and commercial disputes.
Serve as the primary administrator of the Company’s contract lifecycle management (CLM) system, maintaining data integrity, version control, workflow configurations, and cross-functional accessibility for business partners.
Demonstrates expertise in managing global subsidiary governance programs, ensuring compliance with regulatory requirements, and maintaining corporate records. Proficient in coordinating legal projects, supporting in-house attorneys, and managing contract lifecycle systems.
