Job summary

SPS Commerce is seeking an experienced Senior Paralegal to support our legal team across U.S. and international matters, including litigation support, contract review, governance, and regulatory compliance.

This hybrid role entails drafting documents, managing records, coordinating with external counsel, and maintaining corporate filings. You will help optimize legal operations, manage the contract lifecycle, and ensure privacy and data compliance across the organization.

Qualifications

  • Bachelor’s degree with 7+ years of paralegal or legal support experience
  • Strong knowledge of litigation, contract review/administration, corporate law and legal operations

Responsibilities

  • Serve as a central point of contact for incoming legal inquiries from internal business partners and triage requests
  • Manage the Legal Team SharePoint site, including template repository
  • Assist in administration and management of vendor/supplier contracts throughout their lifecycle
  • Prepare and draft legal documents under attorney supervision
  • Assist in preparation of corporate governance documents and filings
  • Maintain and update corporate records (articles, bylaws, shareholder agreements)
  • Assist with filings and coordinate with external service providers
  • Collaborate to develop and implement compliance programs including privacy and data compliance
  • Manage day-to-day administration of litigation and claims matters, including trackers
  • Support the litigation hold process and document collection coordination
  • Support employment and labor matters including responses to charges and internal investigations
  • Support IP matters including trademark docketing and filings coordination

Position Summary:

As the Senior Paralegal, you will be responsible for supporting the legal team across a broad range of matters in the U.S. and internationally, including litigation and claims support, entity governance and documentation, contract review and management, legal research, supporting legal operations, and providing a variety of other general legal support. This role involves process and project management, drafting legal documents, supporting litigation and discovery-related activities, maintaining corporate records, providing general legal and administrative support to the legal team, and other support as assigned.

Essential Responsibilities:
  • Serve as a central point of contact for incoming legal inquiries from internal business partners, triaging requests and routing them to the appropriate attorney or subject matter expert within the legal department

  • Manage the Legal Team Sharepoint site, including template repository

  • Assist in the administration and management of vendor/supplier contracts throughout their lifecycle, including reviewing and maintaining contract records within the contract management system

  • Prepare and draft legal documents, such as contracts, policies, memos, and correspondence, under the supervision of attorneys

  • Assist in the preparation of corporate governance documents, such as resolutions, minutes, and filings for SPS entities

  • Maintain and update corporate records, including articles of incorporation, bylaws, shareholder agreements, and other corporate documents

  • Assist with the preparation and filing of corporate filings, such as annual reports, business licenses, corporate documents and regulatory filings; coordinates work with external service providers as needed

  • Collaborate with the legal team and other departments to develop and implement compliance programs and initiatives, including support for privacy and data compliance efforts

  • Manage the day-to-day administration of litigation and claims matters, including maintaining litigation trackers and dashboards, monitoring case status and deadlines

  • Support the litigation hold process, including issuing and tracking hold notices and coordinating document collection and preservation efforts with relevant business stakeholders

  • Support employment and labor-related matters, including coordinating responses to administrative agency charges (e.g., EEOC and state labor or human rights agencies), assisting with internal investigations, and organizing documentation for employment-related disputes, arbitrations, and mediations

  • Support intellectual property matters, including trademark docketing, renewal tracking, and coordination with outside counsel on filings

  • Provide general legal work support to the broader legal department on an as-needed basis, including assistance with employment, intellectual property, privacy, and other regulatory matters

Minimum Requirements:
  • Bachelor’s degree with 7+ years of experience as a paralegal or in a similar legal support role with an in-house legal department or large law firm; or equivalent combination of education and experience

  • Strong knowledge of litigation, contract review/administration, corporate law and legal department operations

  • Proficient in leading legal projects, contract management and corporate entity support

  • Excellent written and verbal communication skills

  • Attention to detail and the ability to produce accurate work within established deadlines

  • Proficiency in using productivity tools such as Microsoft Office (Word, Excel, PowerPoint, Outlook).

  • Strong organizational and multitasking skills to handle multiple assignments simultaneously

  • Ability to work independently and collaboratively as part of a team

  • Ethical conduct and respect for confidentiality

  • General familiarity with in-house litigation management (e.g., case tracking, litigation holds, outside counsel coordination) and employment/labor matters (e.g., administrative agency charges), with the flexibility to support general legal work across multiple practice areas as needed

Preferred Experience:
  • Paralegal certification

  • Familiarity with contract management systems and legal document management software

  • Prior experience supporting in-house litigation management or employment/labor matters, such as case tracking, litigation holds, coordinating with outside counsel, or administrative agency charge responses

Location:

This role follows a hybrid work model, with regular in-office presence required at our Minneapolis office.

The salary range for this role considers several factors, including education, relevant skills, work history, certifications, location, and more.

The hourly pay range for this role is: $41.63 - $64.52. The actual pay offered will be determined based on the factors listed above and may fall anywhere within the range.

Additionally, you may also be eligible to participate in an annual incentive program. An incentive award, if granted, is based on individual and/or organizational performance.
