Job description

Senior Manager - Financial Due Diligence / Transaction Advisory (M&A)

Focus: Quality of Earnings (QoE)

Location: On-site or Remote

Position Type: Full-Time

Position Overview

Are you a TAS/FDD Senior Manager tired of partner-blocked client relationships, slow political tracks, and back-office review loops?

LCS Forensic Accounting & Advisory (LCS) is seeking a proven Senior Manager - Financial Due Diligence / Transaction Advisory to lead live buy-side and sell-side Quality of Earnings (QoE) engagements. This role is designed for a true deal professional who wants to own client relationships, lead deal teams, and directly influence transaction outcomes, not someone looking for a narrow technical compliance role or a bureaucratic management track.

As a Senior Manager at LCS, you will serve as the primary engagement leader (guiding managers, senior associates, and associates), interacting directly with Private Equity sponsors, founders, CFOs, lenders, and M&A attorneys, and delivering decision-useful insights. We turn numbers into narrative™, and we are intentionally building a platform for future equity partners, not career middle management.

Why Join LCS?

Top senior managers leave traditional firms because client relationships are guarded by partners, career progression is artificially capped by tenure, and the work becomes review-heavy rather than advisory-focused.

LCS is intentionally built differently:
  • Direct Client Ownership: Lead presentations and advise PE sponsors and founders without partner gatekeeping.
  • Merit-Based Growth: Evaluated on client impact, technical judgment, and leadership, not office politics or tenure.
  • Entrepreneurial Platform: Influence firm strategy, culture, and growth with a genuine, non-theoretical path to partnership.
  • High-Impact Work: Work directly on active lower middle-market M&A transactions in a fast-paced, high-trust environment.
What You’ll Actually Do

This is an execution, judgment, and relationship leadership role. You will:

  • Lead & Execute Engagements: Own buy-side and sell-side financial due diligence engagements end-to-end from scoping through final report delivery.
  • Evaluate EBITDA & Cash Flow: Stress-test EBITDA normalizations, revenue recognition sustainability, gross margin drivers, cost structures, net working capital pegs, and debt-like items.
  • Perform Advanced Financial Analyses: Review historical financial statements, operating KPIs, forecast models, and trend analyses to uncover key transaction risks and opportunities.
  • Deliver Investor-Ready Reports: Prepare and present concise, clear, and actionable QoE reports designed for PE investment committees, lenders, and corporate buyers.
  • Serve as a Primary Deal Advisor: Translate complex accounting mechanics into actionable, decision-useful transaction guidance during deal negotiations.
  • Develop Team Talent: Manage, mentor, and elevate Managers, Senior Associates, and Associates on your deal teams.
  • Drive Practice Growth: Participate in proposal development, pitch presentations, and expanding existing client relationships.
Who You Are (Must-Haves)

We are highly selective at the Senior Manager level. You should bring:

  • Experience: 5+ years in Financial Due Diligence / Transaction Advisory Services (FDD/TAS). Experience at a top national or regional accounting firm is strongly preferred.
  • QoE Track Record: Demonstrated experience leading and delivering complex Quality of Earnings engagements (not just supporting them).
  • Credentials: Active CPA license (Required).
  • Technical Mastery: Deep proficiency in U.S. GAAP, M&A financial mechanics, net working capital peg calculations, and cash flow analysis.
  • Analytical Skills: Advanced Excel capabilities with experience reviewing, stress-testing, and building complex financial models.
  • Communication: Outstanding executive-level written and verbal communication skills.
  • Mindset: An entrepreneurial, problem-solving orientation: you think like an advisor and investor, not a checklist auditor.
Preferred Qualifications (Nice-to-Haves)
  • Master’s degree in Accounting or an MBA (with a strong accounting background).
  • Experience across middle-market private equity transactions.
  • Interest or experience in business development and firm building.
What This Role Is NOT

To be completely clear:

  • Not an audit, compliance, or technical accounting advisory role.
  • Not a layered Big 4-style TAS environment with endless internal review tiers.
  • Not a back-office position where Senior Managers are shielded from clients and deal tables.
