Job summary

The Governance and Securities team at Capital One seeks an experienced attorney to advise Capital One’s Board and committees on governance matters. You will be a trusted advisor to senior management and a key member of board management and logistics.

You will provide strategic counsel on fiduciary duties, draft board materials, oversee director onboarding, manage meetings and minutes, and coordinate with outside counsel as needed.

Qualifications

• Juris Doctor required and active bar in good standing.
• Minimum 4 years in-house counsel or law firm.
• At least 4 years in corporate governance and securities practice.

Responsibilities

• Provide strategic advice on board governance and fiduciary duties.
• Draft board materials and governance-related documents.
• Manage director onboarding and ongoing education.
• Support board logistics, agendas, minutes, and resolutions.
• Oversee annual stockholder meeting and related materials.
• Coordinate with outside counsel as needed.
