Qualifications

• Juris Doctor from an accredited law school.
• Active member in good standing of a state bar.
• 4+ years in an in-house counsel role or at a law firm.
• 4+ years in corporate governance and securities law practice.
• Experience with 1934 Act reporting and investor relations preferred.

Responsibilities

• Provide strategic advice on corporate governance, fiduciary duties, and board guidelines.
• Draft board and committee materials and stay current on governance trends.
• Manage director onboarding, orientation, and ongoing education programs.
• Provide logistical support for the Board, including agenda, meetings, minutes, and resolutions.
• Manage the annual stockholder meeting and related materials.
• Administer governance guidelines and policies.
• Lead cross-functional ad hoc governance projects with stakeholders.
• Coordinate outside counsel when needed.
