Job summary

The Governance and Securities team at Capital One is seeking an experienced attorney to support the Board of Directors and corporate governance framework. You will advise the Board, its Committees and senior management on governance matters and contribute to board management and logistics.

You will draft materials, manage onboarding, meetings, and annual stockholder activities, and coordinate with outside counsel on governance initiatives in a fast-paced, highly regulated environment.

Qualifications

• Juris Doctor from an accredited law school.
• Active member in good standing of a state bar.
• 4+ years in an in-house counsel role or at a law firm.
• 4+ years in a corporate governance and securities law practice.

Responsibilities

• Provide strategic advice on governance matters for the Board and committees.
• Draft board materials and minutes, manage onboarding and education.
• Support board meetings, agendas, and governance policy administration.
• Oversee annual stockholder meeting logistics and related materials.
• Coordinate outside counsel and handle ad hoc governance projects.
• Maintain relationships with business clients and senior executives.
