Job summary

American Operator is seeking a highly organized Senior M&A Paralegal to help manage acquisitions from diligence through closing and post-close. This role sits at the intersection of legal transaction support and project management.

The ideal candidate has 8+ years in corporate/M&A paralegal work, with experience in fast-paced settings and strong coordination across legal, investments, and finance teams. Reporting to the General Counsel, you will own timelines, data rooms, and closing logistics.

Qualifications

• 8+ years of corporate or M&A paralegal experience with a paralegal certification.
• Experience in corporate/M&A practice at a leading mid-size or large law firm; in-house experience is valuable.
• Design end-to-end processes, including software implementation and change management.
• Support M&A transactions from diligence through closing with multiple concurrent workstreams.
• Strong understanding of transaction mechanics, diligence, closing requirements, and filings.
• Exceptional product management and organizational skills for detailed workstreams.
• Clear written and verbal communication for non-legal stakeholders.
• High attention to detail and proactive issue identification.
• Comfortable in a fast-paced, entrepreneurial environment beyond a traditional paralegal role.
• Experience with data room platforms (Datasite/IntraLinks) and PM tools; strong Excel skills.

Responsibilities

• Own transaction project management for small and middle-market acquisitions, building deal timelines and tracking dependencies.
• Manage the due diligence process, data rooms, document requests, and item tracking with internal teams and outside counsel.
• Own closing checklists and execution logistics, including signatures and final closing binders.
• Draft, review, and coordinate NDAs, disclosure schedules, consents, certificates, and ancillary documents.
• Coordinate regulatory and corporate requirements, including UCC searches and filings.
• Serve as the central point across legal, investments, finance, HR, operations, and outside counsel.
• Provide clear transaction reporting with executive updates and detailed trackers.
• Manage post-closing workstreams and obligations across multiple deals.
• Maintain organized transaction records, templates, trackers, and documentation.
• Identify opportunities to improve processes, templates, and workflows as we scale.
