Job summary

American Operator seeks a highly organized Senior M&A Paralegal to manage acquisitions from diligence through closing, coordinating across legal, investment, finance, HR, and operating teams.

The ideal candidate has 8+ years of corporate/M&A paralegal experience, with a paralegal certificate, and can own transaction details, manage multiple workstreams, and deliver clear updates to stakeholders in a fast-paced environment.

Qualifications

• 8+ years of corporate or M&A paralegal experience with a certificate.
• Experience supporting M&A transactions in a fast-paced setting.
• Ability to design end-to-end processes and manage multiple workstreams.
• Strong understanding of diligence, closing requirements, and filings.
• Excellent written and verbal communication; translate legal needs for non-lawyers.

Responsibilities

• Own transaction project management for acquisitions, build timelines and track dependencies.
• Manage due diligence, data rooms, requests, gaps, and coordination with counsel.
• Own closing checklists, signatures, packets, and final closing binders.
• Draft, review, and coordinate NDAs, schedules, consents, and related docs.
• Coordinate regulatory and corporate requirements and filings.
• Serve as central point across legal, investments, finance, HR, and ops.
• Provide clear transaction reporting with executive updates and trackers.
• Manage post-closing workstreams and ongoing documentation.
• Maintain organized records, templates, and workflows across deals.
• Identify opportunities to improve processes and templates as the team scales.
