Job summary

UKG is seeking a Principal Legal Counsel to lead M&A and strategic investments end-to-end. You will advise on deal structures, coordinate diligence, draft agreements, and guide negotiations while partnering with Corporate Development and business teams.

With 8+ years of in-house or equivalent experience, you will manage outside counsel, navigate governance issues, and help drive UKG’s strategic growth through responsible risk management.

Qualifications

• J.D. and active license to practice law in at least one U.S. jurisdiction.

Responsibilities

• Lead M&A and strategic transactions end-to-end by advising on deal structure, planning diligence, negotiating definitive agreements, and coordinating signing/closing.
• Support minority investments and venture-style transactions by negotiating investment and side agreements, governance rights, and protections.
• Partner with Corporate Development on term sheets/LOIs and translate legal risk into business options.
• Run diligence workstreams by setting strategy, identifying issues, and presenting clear recommendations.
• Manage outside counsel by setting strategy, directing scope and cost, and delivering high-quality work.
• Coordinate cross-functional execution with Finance, Tax, HR to align objectives and close requirements.
• Prepare or advise on governance actions and entity management needs related to transactions.
