Job summary

Procore seeks a Senior Counsel, M&A Integration to oversee the end-to-end legal integration of acquired companies. You will coordinate with Corporate Strategy, Corporate Development, Product & Technology, Revenue Operations, Sales, Security, People, and Finance to ensure alignment with Procore’s standards and AI-driven playbooks.

The role requires a J.D. with active State Bar membership and 10+ years in M&A integration, with a focus on SaaS and privacy.

Qualifications

• J.D. and active State Bar membership in good standing.
• 10+ years of experience in M&A integration, legal operations, and complex commercial legal motions at top firms or in-house teams, ideally SaaS.
• Extensive experience in SaaS/commercial technology transactions and global privacy knowledge.
• AI‑forward mindset with experience using AI tools to improve integration workflows.
• Change management skills to drive unified operating and transactional models during integrations.
• Agile problem-solving with ability to navigate ambiguity and maintain timelines under pressure.
• Strategic playbook design to harmonize risk appetites and go-to-market motions.
• Exceptional communication translating legal concepts to business strategy for stakeholders.
• Operational excellence and process improvement mindset; proactive issue resolution.
• Unwavering integrity, sound business judgment, and discretion handling sensitive information.
• Collaborative influence across global, decentralized teams and stakeholders.
• Proficiency with Google Workspace, Airtable, Slack, Salesforce, and Ironclad is a strong plus.

Responsibilities

• Lead end-to-end legal integration of acquired entities across business functions.
• Partner with Corporate Development to identify integration risks and shape the roadmap.
• Serve as central legal liaison between Commercial Legal and Privacy, Security, Product, and Finance.
• Provide executive-facing updates on milestones and blockers.
• Coordinate transition of customer and vendor contracts to a unified GTM motion.
• Develop repeatable legal integration playbooks and templates leveraging AI tools.
• Lead AI-driven initiatives to accelerate timelines and improve efficiency in integration.
• Identify and remediate legal risks during transitions, including data residency and global privacy issues.
