Job summary

OpenAI seeks a Senior Corporate Counsel, M&A, to lead and support mergers, acquisitions, joint ventures, and other strategic transactions through the full lifecycle. You will advise corporate development, finance, and product teams, shaping deal strategy and execution.

The role is based in San Francisco with a hybrid model (3 days in office per week) and relocation assistance for new hires. A JD and CA license are required, with 8+ years of transactional experience in tech.

Qualifications

• 8+ years of transactional legal experience at tech or fast-paced firms
• Strong ownership, judgment, and curiosity about technology
• Licensed to practice law in California (CA Bar)

Responsibilities

• Lead and manage mergers, acquisitions, joint ventures, investments, and other corporate transactions across the deal lifecycle
• Draft, review, negotiate definitive agreements, LOIs, and ancillary docs
• Provide strategic advice to corporate development and senior management
• Collaborate with cross-functional teams on post-transaction integration and financing matters
• Support corporate governance and international expansion initiatives
