Messerli Kramer in Minnesota seeks an experienced transactional attorney with strong M&A background to join our Corporate and M&A group. You will manage a broad array of corporate transactions, lead projects, and negotiate deal terms for a diverse client base.

The ideal candidate brings five-plus years of experience, superb legal writing, and the ability to build lasting client relationships while advising on formation, structuring, and financing of companies across multiple states.

Qualifikationen

• Five plus years of transactional experience with corporate mergers and acquisitions as a licensed attorney.
• Strong legal writing skills, analytical and ability to build relationships.
• Experience with a wide range of corporate transactions, including mergers, acquisitions, and business structuring.
• Formation and operation of Minnesota, Delaware (and other state) corporations and limited liability companies.
• Counseling new companies regarding choice of entity.
• Mergers, acquisitions and dispositions.
• Private placements, Regulations D offerings, and Federal and state securities law compliance and filings.
• Implementation of equity incentive plans including stock options and restricted stock.
• Drafting board and stockholder resolutions for various corporate actions.
• Counseling directors and executive officers of corporate entities.
• Structuring equity allocations to founders and employees of startup companies.
• Seed and venture capital financing transactions.
• Drafting NDAs, MSAs, Terms of Use, employment agreements, shareholder agreements, buy-sell agreements and other general corporate agreements.
