CyberCoders is seeking a corporate transactional attorney to join a sophisticated practice focused on high-value mergers and acquisitions. You will advise growing businesses, lead due diligence, negotiate purchase and governance documents, and work with experienced lawyers on complex deals.

Qualifications

• J.D. from an accredited law school.
• Active Illinois Bar membership or eligibility for admission.
• 4+ years of corporate transactional experience within a law firm.
• Experience handling mergers and acquisitions transactions.
• Experience drafting and negotiating transaction documents, purchase agreements, operating agreements, shareholder agreements, and commercial contracts.

Responsibilities

• Support and lead mergers and acquisitions transactions, including due diligence, drafting, negotiation, and closing activities.
• Draft and negotiate purchase agreements, operating agreements, shareholder agreements, buy‑sell agreements, and commercial contracts.
• Advise business owners and companies on entity formation, corporate structure, governance matters, and ongoing legal needs.
• Provide strategic guidance on a wide range of corporate transactions and business initiatives.
• Collaborate with attorneys across multiple practice areas to support complex transactions and achieve business objectives.
