Qualifications

• 5+ years as corporate attorney or GC at a top firm or large corporation.
• Experience leading M&A, governance, or securities filings.
• Fluency with corporate law tooling; familiarity with regulatory approvals.
• JD with bar admission or international equivalent preferred.

Responsibilities

• Construct corporate law scenarios for large-scale M&A and governance reviews.
• Draft reference memoranda and transaction documents with rubrics for senior judgment.
• Utilize tools such as Westlaw, Lexis, VDRs, and CLM platforms in transactions.
• Produce client/regulatory-facing narratives across US and international tracks.
