Qualifications

• 5+ years as a corporate attorney or GC at a major firm, bank, or corporation.
• Direct ownership of M&A transactions, governance matters, or securities filings.
• Understanding of regulatory approvals (SEC review, antitrust/HSR) and board oversight.
• JD with bar admission or international equivalent preferred (Solicitor/Qualified Lawyer).

Responsibilities

• Construct corporate law scenarios for complex transactions and governance reviews.
• Build tasks across M&A, deal structuring, securities, and governance.
• Develop legal scenarios using tools like Westlaw, Lexis, and data rooms.
• Apply deal structuring, due diligence, and regulatory filing analyses to US and International tracks.
• Author rubrics distinguishing authentic corporate law judgment from generic recall.
