Job summary

Solomon Page is assisting a client in locating a corporate attorney with 4–5 years of experience and substantial M&A background to advise on transactions and ongoing outside general counsel matters. The role focuses on drafting and negotiating acquisition agreements, due diligence, and corporate matters for private equity-backed portfolios.

Qualifications

• JD and active Virginia and/or California bar membership.
• 4–5 years of corporate and transactional experience, including substantial M&A work.
• Ability to draft and negotiate acquisition agreements with limited supervision.
• Strong writing, attention to detail, and ability to manage multiple clients and deadlines.
• Private equity, technology, software, healthcare, or growth-stage company experience preferred.

Responsibilities

• Draft and negotiate acquisition agreements, disclosure schedules, and related documents.
• Manage buy-side and sell-side due diligence, closings, and post-closing deliverables.
• Advise on entity formation, equity issuances, capitalization, equity compensation, and corporate governance.
• Draft and negotiate commercial contracts, including NDAs, MSAs, and vendor agreements.
• Provide practical, responsive advice to outside general counsel clients and collaborate across practice groups.
