We are seeking a dynamic and experienced Senior Counsel to join our legal team, focusing on project finance transactions within the renewable energy sector. This role is critical to supporting the company’s mission to accelerate the transition to clean energy through the development, financing, and operation of solar, wind, and battery storage projects.

As Senior Counsel, you will lead legal support for the structuring, negotiation, and execution of complex project financings, including tax equity, debt, and equity investments. You’ll work cross-functionally with our finance, development, M&A, and engineering teams, as well as external counsel, investors, and financial institutions.

Key Responsibilities

• Lead legal efforts for project finance transactions including tax equity, construction and term debt, and other financing structures.
• Draft, review, and negotiate a broad range of financing and project documents, including credit agreements, security instruments, tax equity documents, and intercreditor agreements.
• Advise internal stakeholders on legal risk, deal structure, and market terms.
• Support M&A and joint venture transactions related to project pipelines.
• Collaborate with external counsel, coordinate transaction closings, and ensure compliance with internal policies and regulatory requirements.
• Monitor developments in energy policy, financing trends, and legal frameworks affecting renewable energy projects.
• Support corporate governance and entity management related to project companies.
• Provide mentorship to junior legal team members, as needed.

Qualifications

• J.D. from an accredited law school and active bar membership (New York, California, Texas, or other relevant jurisdiction).
• Minimum 6–10 years of legal experience with a strong background in project finance, preferably within the renewable energy sector.
• Demonstrated expertise in negotiating and closing complex financing transactions.
• Experience working with tax equity structures (partnership flip, sale-leaseback, inverted lease) is highly desirable.
• Strong interpersonal and communication skills, with the ability to collaborate effectively across teams.
• Detail-oriented with excellent organizational and time management skills.
• In-house experience is a plus, but not required.
