Job summary

Neuberger is a leading asset manager seeking an Investment Management Attorney to provide advice and support on a broad variety of legal, regulatory and general corporate matters for its institutional asset management business. The position will primarily support a U.S.

registered investment adviser/commodities trading adviser with a broad range of strategies (equity, fixed income, multi-asset solutions) and products.

Qualifications

• At least 8-10 years of legal experience, including 5+ years in fund formation or equivalent experience at a large law firm.
• Extensive knowledge of the Investment Advisers Act of 1940 and related regulatory frameworks (Investment Company Act, Securities Act, Securities Exchange Act, Commodity Exchange Act).
• Familiarity with ERISA is preferred.
• Strong organizational skills and ability to multi-task.
• Ability to communicate effectively with senior management and investment professionals.
• Efficient and resourceful, able to work independently and meet deadlines.

Responsibilities

• Structuring, forming, advising and providing ongoing support for private funds (open-ended, closed-end, funds-of-one).
• Advising on investment advisory services and negotiating advisory agreements with institutional clients.
• Structuring, developing and distributing products and investment vehicles in the U.S. and abroad.
• Negotiating agreements with service providers and counterparties.
• Reviewing RFPs, client questionnaires and institutional marketing materials.
• Advising on public and private securities and loan trading issues.
• Collaborating with Legal and Compliance globally and with other control functions.
• Supervising and coordinating with outside counsel.
