Job summary

A national law firm with a sophisticated Investment Management & Funds practice is seeking a seasoned Investment Funds Associate Attorney to join its team across multiple U.S. offices.

This is an opportunity for a senior-level attorney to handle complex, high-value fund formation and structuring matters for a diverse client base that includes private equity sponsors, hedge fund managers, credit funds, and other alternative investment vehicles.

Qualifications

• JD from ABA-accredited law school with excellent academic record
• Active Bar Admission in the relevant jurisdiction, in good standing
• Significant experience in investment fund formation, structuring, and ongoing regulatory compliance
• Deep knowledge of private equity funds, hedge funds, credit funds, and other alternative investment vehicles
• Experience advising sponsors and managers on fund governance, disclosures, and regulatory matters
• Strong familiarity with U.S. investment management regulations, including the Investment Advisers Act of 1940 and related SEC requirements
• Ability to manage complex matters independently and serve as a trusted advisor to sophisticated clients
• Excellent oral and written communication skills, sound judgment, and a client-focused approach

Responsibilities

• Advise fund sponsors and investment managers on formation, structuring, and launch across asset classes
• Draft and negotiate fund documents: private placement memoranda, LPAs, operating agreements, and subscription materials
• Counsel on regulatory compliance under federal and state securities laws
• Provide ongoing advice on fund operations, governance, and investor relations
• Collaborate with tax, regulatory, and transactional teams to deliver integrated solutions
• Stay current on regulatory developments affecting the investment management industry
