Job summary

Max Benjamin Partners, Beverly Hills, seeks its first General Counsel to lead legal affairs for MBP and Hybridge Capital Management. You will own litigation strategy, supervise outside counsel, and guide complex real estate transactions and corporate matters.

The role requires a J.D., California Bar admission, and 10+ years of relevant experience. This on-site position reports to the Managing Partner and sits with no established in-house department.

Qualifications

• J.D. from an accredited law school and active California Bar membership.
• Ten or more years of practice, with in-house or top law firm experience.
• Lead‑attorney experience in complex commercial and real estate litigation.
• Real transactional experience in commercial real estate: acquisitions, dispositions, financing, joint ventures, and entity structuring.
• Strong drafting and negotiation skills; sound judgment and discretion required.

Responsibilities

• Own all litigation, arbitration, mediation, and pre-litigation disputes for MBP, HCM, their investment vehicles, and their portfolio assets.
• Set strategy, assess exposure, and drive matters to resolution; manage outside counsel and budgets.
• Draft and negotiate purchase/sale agreements, joint venture and operating agreements, loan documents, and related contracts.
• Advise on hiring, compensation structures, wage-and-hour compliance, and employment matters under California and federal law.
• Maintain entity structure, governance records, and filings; oversee securities questions and fund operations.
• Manage the firms' insurance program (D&O, E&O, GL, property) and coordinate related claims.
