The candidate will work on M&A, capital markets, and technology transactions, with strong drafting and negotiation of data rights and security terms. JD from ABA law school required; CIPP a plus.

Qualifications

• 5+ years of experience in: M&A, capital markets, technology transactions, or transactional work with a privacy/cyber angle.
• Comfort drafting and negotiating deal terms tied to data rights, security obligations, incident history, and regulatory exposure.
• Experience with tech industry clients and regulatory policy/enforcement exposure is valued.
• CIPP certification is a plus.
• JD from an ABA-accredited law school; excellent writing skills; top business judgment.

Responsibilities

• Advise on privacy, data processing, and cybersecurity issues in coy transactions.
• M&A diligence, risk allocation, and data-as-an-asset considerations (buy-side and sell-side).
• Public offerings and capital markets matters with privacy/cyber diligence front and center.
• Commercial and strategic technology transactions including product, platform, and data-sharing arrangements.
• Embedded in major transactions rather than siloed.
