Qualifications

• Juris Doctor degree and active membership in good standing with at least one state bar.
• Experience advising executive leadership and Boards of Directors on legal, governance, and strategic matters.
• Strong knowledge of corporate governance, acquisitions, financing, and risk management.
• Experience handling complex commercial transactions and outside counsel coordination.
• Experience managing litigation, compliance programs, and enterprise risk.

Responsibilities

• Lead on complex equipment financing, leasing, and technology-related transactions; negotiate major agreements with customers, lenders, vendors, and strategic partners.
• Advise the Board of Directors and executive leadership on governance, major transactions, and strategic initiatives.
• Support acquisitions, financing arrangements, partnerships, and organizational changes; manage corporate governance records and legal entity matters.
• Provide guidance on privacy, cybersecurity, data protection, AI, software, cloud services, and emerging technologies.
• Develop templates, policies, and processes to improve contract execution speed and consistency.
