This counsel will play a key role within the company, advising on complex M&A transactions on an international scale, joint ventures, business growth strategy, and other corporate matters. This significant role in the company will also provide deal-lifecycle guidance as well.

Job Description
- Provide strategic legal guidance throughout all phases of mergers, acquisitions, divestitures, and other corporate transactions, ensuring alignment with regulatory and compliance requirements.
- Draft, negotiate, and review a wide range of complex transactional documents, including joint venture agreements, purchase agreements, term sheets, and disclosure schedules.
- Collaborate cross-functionally with teams in corporate development, finance, tax, HR, and business units to structure deals that support business objectives.
- Lead legal due diligence efforts, identifying potential risks and recommending mitigation strategies to protect the company's interests.
- Oversee external counsel to ensure efficient, high-quality legal support for both domestic and international transactions.
- Advise on post-closing integration matters, including transitional services, contractual obligations, and coordination with internal legal teams.
- Monitor evolving legal and regulatory landscapes to anticipate potential impacts on future strategic initiatives and M&A activity.
- Deliver practical legal risk assessments that balance business goals with legal safeguards.
- Contribute to the enhancement of internal M&A processes, templates, and legal playbooks to drive consistency and efficiency.
- Ensure compliance with relevant laws, including antitrust, securities, labor, and industry-specific regulations.
- Perform other duties as assigned to support the legal department's strategic initiatives.
Qualifications
- 5+ years of experience in either a law firm or an in-house legal department
- Experience in the manufacturing space preferred
- Expertise in full-cycle deals, joint ventures, and general corporate law on an international level
- Knowledge of M&A, securities, and corporate law
- Proven ability to manage multiple deals in a fast-paced environment
