My client is seeking an experienced Senior Counsel M&A to join their team. This opportunity involves working with a leading network of animal hospitals across the United States, dedicated to revolutionizing veterinary medicine. Backed by a top-tier private equity firm, this role is pivotal in shaping healthcare solutions for companion animals and supporting veterinary professionals.

Key Responsibilities:

• Structure, draft, and negotiate transaction documents, including asset purchase and employment agreements.
• Lead legal due diligence to identify and mitigate liabilities, ensuring compliance with veterinary regulations.
• Provide strategic guidance on deal structures, financial, and regulatory advantages, and advise on compliance.
• Collaborate across teams for effective post-acquisition integration and compliance.
• Develop operational frameworks to support the expanding veterinary network and monitor industry trends for M&A strategy.

Ideal Candidate Skills:

• Juris Doctor (JD) from an accredited law school and active law license in any state.
• At least 10 years of M&A experience, including structuring, due diligence, and negotiation.
• Preferred in-house legal experience in a corporate or law firm setting, with familiarity in veterinary or healthcare industries.
